Creation fees are charges incurred in cases of actions that condition the company's existence or development, especially creation, capital increase, merger with another company, or any other action that may affect the entity’s life cycle. Their amount cannot be related to any production of goods or services rendered.
Dividends are a share of profits distributed to the company's shareholders. They are fixed by the General Assembly following judiciary approval of annual accounts. The distribution is carried out either in cash or shares, which in such a case, will result in a capital increase.
Domiciliation is an action whereby a physical or legal person, called domiciliation entity, lays its head office at the disposal of another physical or legal person, called domiciliated entity.
The domiciliation contract is concluded through a template form designed by authorities and intended for a limited period renewable by tacit agreement. Enterprise domiciliation in Morocco is ruled by virtue of Law 89-17 terms and conditions.
Limited Liability Company (SARL) managers, either partners or not, as minority or majority, who receive a salary by virtue of their activities and responsibilities within the company, are compulsorily subject to both the National Social Security Fund (CNSS) and the Compulsory Health Insurance (AMO).
A non-managing partner, as minority or majority, as well as a member of the Board of Directors or the Supervision Board who carry out a remunerated function within the company based on employer-employee subordination and dependence relationship, are subject to the National Social Security Fund (CNSS), provided they do not exercise another function susceptible to exclude them by law from the scheme (such as civil service, military or any other function based on an obligating scheme).
Investors and entrepreneurs have to pursue regularly budgets and predict potential evolutions for the purpose of efficient monitoring and control of the company's development. This is feasible by using specialized software, tasking an SME to manage it or calling for short-term bank loan.

Our group has been present in Morocco since 1986. It has two logistics sites there, the first in Casablanca spreading over 19000 m2 , and the second in Tangier of over 10000 m2. We support the development of the country by providing modern and highly performing logistics, at the forefront of innovation. Militzer & Münch is a benchmark player in Europe and Morocco for international road transport. We are leaders in grouping logistics, in which we specialize, with 20 weekly grouping freight lines between Morocco and Europe, in both directions. Our supply of grouping services responds particularly well to Moroccan demand, where the many SMEs require multiple split imports of one to a few pallets, delivered very quickly. We also provide transport in full batches, as well as maritime and air solutions either in full batches or through grouping, particularly from Asia and Turkey. Our Ain Sebâa logistics platform, which started up in 2003, has high-performance infrastructure that specifically meets our needs. Since the beginning, it has been a customs bonded warehouse (MEAD – magasin et aire de dédouanement), which allows our customers to complete all formalities directly onsite (customs, MCI, etc.) while keeping permanent control of the goods.
M&M Maroc was a pioneer when it opened the first MEAD outside the port enclosure in 2000, just like we were by being the first to be certified as a Safety and Security Authorized Economic Operator (AEO SS) in 2019, attesting to the security of our supply chain. Notably, this certification allows us to unload trailers authorized by customs, without the presence of customs officials, within our MEAD. Today, 70 to 80 % of our trailers are processed in this way, which speeds up the customs clearance process for the benefit of our customers, as well as the national economy in general. Obtaining this prestigious, very constraining, and complex certification required the creation of a comprehensive general infrastructure through information systems, procedures, as well as security and video surveillance equipment. Above all, it is the result of our trust-based relationship with the Customs Administration for almost 40 years. This infrastructure has also made a considerable leap in the last four years through a process digitalization, accelerated by the pandemic. Today, thanks to these efforts, we can offer operators who import or export an extremely fast, reliable, and secure service.
We are constantly investing in new information technologies to streamline the process and help our customers save time. The goods are loaded from our 20 European platforms in Paris, Barcelona, London, Milan, Frankfurt, Istanbul… For instance, our Friday afternoon guaranteed departures arrive on Monday morning in Casablanca, with pick-up starting as early as 5:00 a.m. Upon arrival, our customers immediately receive the necessary documentation to start customs clearance. We have recently implemented digital payment with Portnet and the CMI, allowing our customers to save even more time and increase traceability. All this responds to the demand of a modern economy, such as has become Morocco’s. The technical means are there, the rules are known and clear. For a recognized carrier like Militzer & Münch, Morocco is a market that has enabled us to fully justify all our investments therein engaged.
What are your activities?
Xpertize Africa is specialized in 4 fields : Recruitment, Executive Search, Project Sourcing and HR consultancy. We are conscious that recruitment is a strategic stake for enterprises, and we, as “skill seekers” of low to middle management rates, assist enterprises in sourcing efficiently best skills either in Morocco or Africa.
Why did you choose to locate your agency in Casablanca?
As World-citizen Moroccans with a strong entrepreneurship vocation, we decided to create a recruitment agency in 2010. Two years later, we associated with Xpertize Belgium, a Belgian recruitment agency that became Xpertize Morocco. In 2018, Select, an HR World leader, became our shareholder and partner, and we decided to rename our Company “Xpertize Morocco” which turned later into “Xpertize Africa” to promote our ambition to a global identity.
When we decided to return home, it was obvious that for a service activity, Casablanca was the right place to be. Being the economic capital was an excellent criterion given the city's economic dynamism and closeness to leading enterprises and qualified Human Resources. We also have a personal preference for Casablanca and find it a pleasant place to live.
What are your development perspectives?
For our activities over the five years to come, we project to be the first HR partner in the Casablanca-Abidjan-Dakar triangle. We also have another European triangle including Paris, Brussels and Amsterdam, where we are represented by our European branch “PRO Company”. Our long-term goal is to be a West African leader and expand this position across the Continent. We also have several future support projects such as intelligent technology, marketing and finance.
What are your activities in Morocco?
Golden Star Morocco Corp is an industrial unit specialized in polyester bed ware. It is a Chinese knowhow that came over in Morocco following the establishment of a production unit in Settat in 2018 with an area of 20 000 m2, of which 11 000 m2 is a constructed area employing 350 people. Total investment up to now amounts to 60 million MAD.
Why did you choose to locate in Settat?
The choice of a factory in Settat was stirred up by the proximity to Casablanca port, very useful for raw material imports as for bed ware exports. Casablanca-Settat is the first economic pole of the Kingdom, which represents considerable business opportunities for us, in addition to the available qualified manpower that enhances the region's competitiveness.
What are your development perspectives?
Our Company intends to expand its activities by means of two additional production lines, bound to create another 600 direct jobs. Such expansion will allow us to reach new markets in Africa and fully benefit from opportunities offered by the Continent and the regional integration strategy adopted by Morocco.
What are the assets of Pullman Mazagan Royal Golf?

Why El Jadida?
The choice of El Jadida was stimulated by the beauty of the site located only at 15 mn car ride from El Jadida downtown and Medina, which is a tourist hub. Another picturesque town, Azemmour which is only 8 km off, as well as El Jadida and Sidi Bouzid beaches, which are respectively located at only 15 and 30 mn car ride. Another noteworthy reason is the exemplary engagement of Regional authorities in land offer and all relevant authorizations.
In which sector is Evlox Company operating?
Evlox is a Spanish producer of denim since 1846. We produce annually more than 12 million metres of denim, employ around 500 employees worldwide and have a commercial presence in 50 countries.
Why did Evlox settle in Settat?
Settavex was one of the first Spanish enterprises to invest in this region in early 90s. The exemplary cooperation with the different local authorities, high-quality communication infrastructure and the strategic position favourable to serve the European market, have been the main reasons for our choice.
What are Evlox perspectives?
Since Settavex is the only denim producer in Morocco, we are going through a crucial period of ecological transformation and evolution. The textile sector needs, in general, to activate basic structural changes to improve its sustainability through circular economy.
All Settavex development strategies over the years to come are planned, taking into consideration these changes with a view to sustaining our position as a reference supplier for our European customers.
